Highlight Description:

Fletcher, Heald & Hildreth provides comprehensive legal services for the technology, telecommunications and media industries, partnering with clients on transformative deals and innovative solutions to cutting-edge business issues and regulatory concerns. Our attorneys possess a unique understanding of technology, industry, regulatory environments, and business needs – derived from decades of experience. We utilize practical know-how and broad policy experience to tackle challenges arising from the rapid evolution in technology, increasing competition, and the demands of a global high-tech economy. Our experienced team can handle: startup and formation; intellectual property, content and copyright matters; the complexities of Internet law; commercial and technology transactions; RF equipment and spectrum issues; regulatory licensing and compliance; policy advocacy; and complex litigation.

We have clients in every state of the U.S. and in countries around the globe. We serve as counsel to over 1500 AM, FM and TV broadcast stations, wireline telecommunications companies, major financial institutions, state and local governments, equipment manufacturers and vendors, technology start-ups, Internet service providers, mobile radio service providers and users, cable TV companies, fixed microwave suppliers and users.

Internationally, the firm has been employed by private companies worldwide and by the U.S. and other governments for its expertise in communications regulation. We evaluate the impact of U.S. telecommunications policy on international ventures, assist in the sale and development of communications properties overseas, advise clients on the regulatory hurdles involved in foreign ownership of communications entities, and help overseas equipment suppliers satisfy U.S. requirements. Members of the firm offer strategic and technical advice to clients whose varied business interests are directly affected by regulatory changes in foreign and domestic markets and by international treaties, rules, and policies.

Extended Description:

In addition to representing established telecommunication interests, the firm has helped several enterprises to launch new categories of products and services, in some cases overseeing major regulatory overhauls. The firm’s views on policy issues are regularly solicited by the United States Congress and congressional staff, the Federal Communications Commission, and various working groups in the government and private sectors. Our attorneys are active and influential as members and officers in industry associations and frequently participate as speakers, panel members, and study group chairs at industry meetings.

Policy makers in the United States and elsewhere are developing telecommunications regulatory schemes to promote competition, respond to innovations in technology and services, and serve the ever-expanding needs of consumers and businesses. We are committed to ensuring that our clients are successful participants in this rapidly evolving global marketplace.

Broadcasting:

Fletcher, Heald attorneys have represented broadcasters since the firm's inception --- and almost since the Federal Communications Commission's inception. The firm's original broadcast lawyers included the FCC's first General Counsel. Eugene O. Sykes, the FCC's first Chairman, joined us at the expiration of his term.

Today, the firm counsels and represents over 1,500 broadcast stations in nearly every state, the District of Columbia, Puerto Rico, and Guam.

Our broadcast law services include:

  • Assisting clients seeking FCC licenses and other regulatory approvals;
  • Helping licensees comply with day-to-day regulatory requirements;
  • Helping television stations and video programmers obtain carriage on cable television and direct broadcast satellite systems via must carry or retransmission consent;
  • Advising clients on regulatory and legislative developments affecting their industries;
  • Assisting clients in responding to FCC inquiries, investigations, and enforcement actions;
  • Participating in rulemaking proceedings;
  • Negotiating and drafting commercial transaction documents, including asset sale and stock purchase agreements;
  • Negotiating and drafting loan financing and collateral security agreements;

  • Consulting with members of Congress, officials in the Executive Branch, and FCC commissioners and their staffs.

Mergers, Acquisitions and Financing:

Fletcher, Heald has a long history of representing both buyers and sellers in a wide range of media-related transactions.

From 2010-2015, we represented clients in more media transactions than any other law firm, according to SNL Kagan, a preeminent source of financial analysis in the media industry.

Our practice includes the negotiation of Asset Purchase Agreements or Stock Purchase Agreements and the filing of Assignment of License and Transfer of Control Applications with Federal Communications Commission. But it extends well beyond those activities.

Fletcher Heald attorneys work with clients and their counsel in connection with media and telecom lending and investment transactions. We serve as special FCC counsel in a variety of financing transactions, including private financing and investment, public financing and offerings, bankruptcies, workouts, and foreclosures. We have served as special FCC counsel for lenders, mezzanine funds, and private equity and venture capital firms, as well as for media and telecommunications companies and entrepreneurs in connection with loans and equity investments and financings.

Our attorneys advise lenders, investors, and borrowers on FCC rules and regulations governing the operation of media, telecommunications, and wireless firms, as well as FCC regulations affecting foreign ownership, lending practices, and collateralization of security interests for loans and investments. We counsel foreign investors on U.S. communications laws and FCC regulations that affect investments in U.S.-based media and telecommunications companies. We assist our lending and investment clients and/or their counsel with due diligence on FCC licenses and operations, FCC compliance matters, and valuation of broadcast, wireless, satellite and telecommunications businesses. We also review loan and security documents, provide FCC legal opinions, and analyze ownership structures to assure compliance with FCC regulations.
